WHISPA™ Terms of Use

Welcome to WHISPA™.
These Terms of Use (“Terms”) govern your use of the WHISPA™ mobile application (the “App”) and related services (the “Service”) provided by Whispa, Inc. (“WHISPA™”, “we”, “us”, “our”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 18 years old to use WHISPA™. By accessing or using the Service, you represent and warrant that you meet this age requirement and that you have the legal capacity to enter into these Terms. If you are under 18, you may not create an account or use the Service.
2. License to Use
WHISPA™ grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the App and Service for your personal, non-commercial use, subject to these Terms and applicable laws.
You may not copy, modify, distribute, sell, lease, reverse engineer, decompile, or attempt to extract the source code of the App or any part of the Service, except where such restrictions are prohibited by applicable law.
3. Account and Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate, current, and complete information and to keep your account information updated.
You agree to notify us promptly of any unauthorized use of your account or any other breach of security. WHISPA™ is not responsible for losses caused by unauthorized access resulting from your failure to safeguard your credentials.
4. Verification Process
To enhance safety, authenticity, and trust within the Service, WHISPA™ may require selfie verification and facial liveness checks through a third-party provider.
WHISPA™ does not collect or store government-issued identification documents, biometric identifiers, or biometric templates received from the verification provider. We may store limited verification status information, such as verified or not verified, and related audit data to prevent fraud, repeat abuse, and misuse of the Service.
Verification does not guarantee that a user is safe, trustworthy, compatible, or acting in good faith. You are responsible for using caution when interacting with other users.
5. User Responsibilities
You agree to use the Service lawfully, respectfully, and in accordance with these Terms.
You will not harass, abuse, stalk, threaten, intimidate, defame, impersonate, defraud, exploit, or harm other users. You will not post or share illegal, misleading, hateful, violent, sexually exploitative, non-consensual, discriminatory, or otherwise harmful content. You will not use the Service for scams, spam, commercial solicitation, prostitution, escort services, trafficking, illegal activity, or deceptive purposes.
You will not attempt to bypass verification, moderation, payment systems, security measures, usage limits, or access controls. You will not scrape, crawl, index, harvest, copy, or misuse user data, profiles, messages, or content. You will not use bots, automation, fake accounts, or other unauthorized means to access or interact with the Service.
6. Safety and User Interactions
WHISPA™ is designed to help users discover and connect with other people, but we do not control or guarantee the conduct, intentions, identity, compatibility, or availability of any user.
You are solely responsible for your interactions with other users, both online and offline. You agree to use good judgment and take appropriate safety precautions when communicating with or meeting other users. WHISPA™ is not responsible for the conduct of users or for any harm, loss, or damage arising from user interactions, to the maximum extent permitted by law.
We may provide reporting, blocking, moderation, and safety tools, but we are not obligated to monitor every interaction or piece of content.
7. Paid Features, Subscriptions, and Purchases
Certain features of the Service may be offered as paid features, including one-time purchases, consumable features, boosts, premium features, or subscription-based access.
Payments are processed by Apple, Google, or another applicable app store or payment provider, and are subject to their respective terms, policies, and refund rules. WHISPA™ does not control and is not responsible for payment processing issues handled by third-party platforms.
Subscriptions may automatically renew unless canceled before the renewal date through your Apple, Google, or applicable platform account settings. Deleting the App or deleting your WHISPA™ account may not automatically cancel your subscription. You are responsible for managing and canceling subscriptions through the applicable platform.
Except where required by law or platform rules, all purchases are final and non-refundable. We may change prices, features, or availability of paid features from time to time, subject to applicable law and platform rules.
8. Match Recommendations, Magic Sync, and Algorithms
WHISPA™ uses proprietary systems that may consider factors such as astrological data, psychological profiles, user preferences, profile information, activity signals, behavioral patterns, location, and other available data to suggest potential connections and personalize discovery.
These tools are designed to support discovery and exploration, but they do not guarantee compatibility, accuracy, mutual attraction, communication, relationship success, or any real-life outcome.
Magic Sync is an algorithmic discovery feature intended to show a highly compatible or especially relevant profile based on WHISPA™’s internal matching system and available user data. Magic Sync does not guarantee a “perfect match,” “soulmate,” “super match,” mutual interest, response, date, relationship, or compatibility in real life. It means only that the profile was identified by our system as potentially suitable or highly relevant according to our algorithm at that time.
Any compatibility scores, indicators, labels, or descriptions, including references such as “99%,” “high compatibility,” “most compatible,” or similar wording, are system-generated signals intended for informational and entertainment purposes only. They do not represent scientific certainty, professional advice, or a promise of results.
WHISPA™ may update, modify, test, or change its algorithms, ranking systems, recommendations, compatibility scores, and discovery features at any time.
9. User Content
You are solely responsible for any content you upload, post, send, display, or share through the Service (“User Content”), including profile text, photos, messages, reactions, and other materials.
By submitting User Content, you grant WHISPA™ a non-exclusive, worldwide, royalty-free, sublicensable, transferable license to host, store, use, reproduce, modify, adapt, display, distribute, and otherwise process such content solely for the purpose of operating, maintaining, improving, moderating, promoting, protecting, and supporting the Service, including safety, verification, moderation, customer support, and technical functionality.
You represent and warrant that you own or have the necessary rights to submit your User Content and that your User Content does not violate the rights of any third party, applicable law, or these Terms.
Some User Content may be visible to other users. You should not share content or information that you do not want others to see, save, copy, or share.
10. Content Moderation and Enforcement
We may review, remove, restrict, limit, or disable access to any content or account if we believe, in our discretion, that it violates these Terms, our policies, applicable law, or may harm users, WHISPA™, or third parties.
We may use automated systems, human review, user reports, third-party tools, or a combination of these methods to detect violations, fraud, abuse, or unsafe activity.
We are not obligated to publish, display, maintain, or restore any User Content. We may also preserve or disclose content or account information where required by law or where we believe it is necessary to protect safety, investigate violations, or enforce these Terms.
11. Intellectual Property
All rights, title, and interest in and to the Service, App, and related content, excluding User Content, including trademarks, logos, designs, interfaces, text, graphics, software, algorithms, features, and other materials, are owned by Whispa, Inc. or its licensors and are protected by applicable intellectual property laws.
WHISPA™ and related names, logos, product names, and service names are trademarks or trade names of Whispa, Inc. No rights are granted except as expressly stated in these Terms.
12. Third-Party Services and App Stores
The Service may include or interact with third-party services, platforms, tools, software development kits, analytics providers, verification providers, payment processors, or app stores. Your use of third-party services may be subject to separate terms and privacy policies.
If you downloaded the App from Apple App Store, Google Play, or another app store, you acknowledge that the applicable platform is not responsible for the Service, content, support, maintenance, claims, or liabilities related to the App, except as required by their own terms or applicable law.
13. Privacy
Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, disclose, and protect information. By using the Service, you acknowledge that you have read and understood our Privacy Policy.
14. Disclaimers
The Service is provided on an “as is” and “as available” basis. WHISPA™ disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, and reliability.
We do not guarantee uninterrupted, secure, error-free, or bug-free operation of the Service. We do not guarantee that the Service will meet your expectations or that any user interaction, recommendation, match, Magic Sync result, compatibility score, message, date, relationship, or other outcome will occur or be successful.
You acknowledge that dating and social interactions involve personal judgment and risk. WHISPA™ is not responsible for the actions, omissions, statements, intentions, identity, or conduct of users or third parties.
15. Limitation of Liability
To the maximum extent permitted by law, WHISPA™, its officers, directors, employees, contractors, affiliates, agents, licensors, and service providers will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of profits, revenue, data, goodwill, reputation, or business opportunities, arising out of or related to your use of or inability to use the Service.
To the maximum extent permitted by law, WHISPA™’s total liability for any claim arising out of or related to the Service or these Terms will not exceed the greater of the amount you paid to WHISPA™ for the Service in the three months before the event giving rise to the claim or 100 U.S. dollars.
Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.
16. Indemnification
To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless WHISPA™, its officers, directors, employees, contractors, affiliates, agents, licensors, and service providers from and against any claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to your use of the Service, your User Content, your violation of these Terms, your violation of applicable law, or your violation of any rights of another person or entity.
17. Termination
WHISPA™ may suspend, restrict, or terminate your access to the Service or your account at any time if we believe you have violated these Terms, misused the Service, created risk or possible legal exposure, or if such action is necessary to protect the platform, other users, WHISPA™, or third parties.
You may stop using the Service at any time and may request account deletion through the App or by contacting us.
Termination does not automatically entitle you to a refund for paid features or subscriptions, except where required by law or applicable platform rules. Sections that by their nature should survive termination will survive, including provisions related to intellectual property, user content licenses, disclaimers, limitation of liability, indemnification, governing law, and dispute resolution.
18. Changes to the Service
We may modify, suspend, discontinue, replace, limit, or remove any part of the Service, including features, algorithms, paid features, pricing, availability, or content, at any time, subject to applicable law and platform rules.
We are not liable for any modification, suspension, or discontinuation of the Service or any part of it.
19. Changes to These Terms
We may update these Terms from time to time. The updated version will be posted within the Service or on our website with a revised “Last Updated” date. If changes are material, we may provide additional notice, such as an in-app notification or email, where required by applicable law.
Your continued use of the Service after the effective date of updated Terms means you accept the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.
20. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of California, United States, without regard to conflict of law principles.
This governing law provision does not limit any mandatory consumer protection rights that may apply to you under the laws of your country or region of residence.
21. Dispute Resolution
Before filing a claim, you agree to first contact us at tech@whispa.com and attempt to resolve the dispute informally. We will try to resolve the dispute in good faith.
If a dispute cannot be resolved informally, it will be handled in the courts located in California, United States, unless applicable law requires another forum or gives you the right to bring claims in your local jurisdiction.
22. Entire Agreement and Severability
These Terms, together with our Privacy Policy and any additional terms or policies referenced in the Service, constitute the entire agreement between you and WHISPA™ regarding the Service and supersede any prior or contemporaneous agreements.
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect.
