Welcome to WHISPA™.
These Terms of Use (“Terms”) govern your use of the WHISPA™ mobile application (the “App”) and related services (the “Service”) provided by Whispa, Inc. (“WHISPA™”, “we”, “us”, “our”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 18 years old to use WHISPA™. By accessing or using the Service, you represent and warrant that you meet this age requirement.
2. License to Use
WHISPA™ grants you a limited, non-exclusive, non-transferable, revocable license to access and use the App and Service for your personal, non-commercial use, subject to these Terms and applicable laws.
3. Account and Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us promptly of any unauthorized use of your account or any other breach of security. WHISPA™ is not responsible for losses caused by unauthorized access resulting from your failure to safeguard your credentials.
4. Verification Process
To enhance safety, authenticity, and trust within the Service, WHISPA™ may require selfie verification and facial liveness checks through a third-party provider. WHISPA™ does not collect or store government-issued identification documents, biometric identifiers, or biometric templates. We may store limited verification status information, such as verified or not verified, and related audit data to prevent fraud, repeat abuse, and misuse of the Service.
5. User Responsibilities
You agree to use the Service lawfully and respectfully. You will not harass, abuse, stalk, threaten, impersonate, defraud, or harm other users; post or share illegal, misleading, or offensive content; attempt to circumvent security or verification measures; or use the Service for deceptive, exploitative, or harmful purposes.
6. Paid Features
Certain features of the Service may be offered as paid features, including one-time purchases or subscription-based access. Payments are processed by Apple or Google, as applicable, and are subject to their respective terms and policies. Except where required by law or platform rules, all purchases are final and non-refundable. WHISPA™ does not control and is not responsible for payment processing issues handled by third-party platforms.
7. Match Recommendations and Algorithms
WHISPA™ uses proprietary systems that may consider factors such as astrological data, psychological profiles, user preferences, and behavioral signals to suggest potential connections. These tools are designed to support discovery and exploration but do not guarantee compatibility, accuracy, or outcomes. Any compatibility scores, indicators, or descriptions (including references such as “99%”) are system-generated signals intended for informational purposes only and do not represent scientific certainty or a promise of results in real life.
8. User Content
You are solely responsible for any content you upload, post, or share through the Service (“User Content”). By submitting User Content, you grant WHISPA™ a non-exclusive, worldwide, royalty-free, sublicensable license to host, store, use, reproduce, modify, display, and distribute such content solely for the purpose of operating, maintaining, improving, moderating, and supporting the Service, including safety and customer support functions.
9. Intellectual Property
All rights, title, and interest in and to the Service, App, and related content, excluding User Content, including trademarks, logos, designs, interfaces, text, graphics, and software, are owned by Whispa, Inc. or its licensors and are protected by applicable intellectual property laws. No rights are granted except as expressly stated in these Terms.
10. Disclaimers and Limitation of Liability
The Service is provided on an “as is” and “as available” basis. WHISPA™ disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee uninterrupted, secure, or error-free operation of the Service, nor do we guarantee any outcome from using the Service. You acknowledge that interactions with other users occur at your own risk, and WHISPA™ is not responsible for the conduct of users or third parties. To the maximum extent permitted by law, WHISPA™ shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, data, or goodwill, arising out of or related to your use of the Service.
11. Termination
WHISPA™ may suspend, restrict, or terminate your access to the Service or your account at any time if we believe you have violated these Terms, misused the Service, or if such action is necessary to protect the platform, other users, or third parties. You may stop using the Service at any time and may request account deletion through the App or by contacting us.
12. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of California, United States, without regard to conflict of law principles.
13. Entire Agreement and Severability
These Terms constitute the entire agreement between you and WHISPA™ regarding the Service and supersede any prior or contemporaneous agreements. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
